Of course it counts as tethering, why wouldn't it?

There's definitely a clue in the question there I think.
Yes.

From 3's booklet.
Tethering
Share the internet on your phone with other devices by usb or wifi connection. Use the internet out and about with other devices including laptops, tablets and games consoles.

On the other hand o2's booklet says they allow tethering anyway on pay monthly contracts

Some networks/tarrifs try and guard against tethering. I was on an Orange Dolphin contract and it wouldn't allow me to tether my iPad or laptop BUT it would let me in with my Android tablet (wow - it's like.... it knew or something, but then got tripped up when the tablet was the same O/S as my phone :) )
My current contract (well the same one but thats a different story) is now Panther and it specifically says it can be tethered - which is good as I get to use all 750Mb of my allowance.
A bloike I work with is on 3 (all you can eat) and he tethers his Archos all day, but it won't let his iPad near it.
I knoiw this is nothinh to do with the question. Just sayin'
